Arsenal Bangalore Club Constitution and By-Laws

ARTICLE 1: NAME & PURPOSE

  1. 1. Name – The name of this club shall be Arsenal Bangalore Supporters Club .
  2. 2. Purpose – The purpose of this club shall be:
  • · To provide a common forum for fans and supporters of Arsenal Football Club located in and around Bangalore to communicate, interact, exchange information and enjoy matches
  • To provide a platform for the fans and supporters of Arsenal Football Club to indulge in social activities to promote camaraderie among like minded fans.
  • To facilitate a mutually beneficial relationship between local supporters with Arsenal Football Club located in London, England.

Arsenal Bangalore Supporters Club (hereinafter referred to as “the Club”) consists of members residing in and outside Bangalore, Karnataka who support Arsenal. The purpose of the Club is to support Arsenal Football Club.

The members of the Club shall be deemed to have agreed to all of these terms and conditions. These terms and conditions (hereinafter referred to as “the Terms”) shall apply to the services of the Club (hereinafter referred to as “the Services”) offered by Arsenal Bangalore to the members.

 

ARTICLE 2: MEMBERSHIP & DUES

  1. As used herein, a “member” shall refer to any individual who agreed to the Terms and filed an application for membership by following the procedures designated by the Club and whose application has been approved by the Club. The membership application may or may not be approved at the discretion of the Club.
  2. No applicant for membership shall submit any false information on any of the items to be registered. Any parties found guilty of such fraudulent activities may banned (temporarily or permanently) from the club with the discretion of the cub’s executive committee.
  3. No one may have more than one membership subscription. (It is prohibited to have multiple membership subscriptions under any single name.)
  4. No one who files more than one membership application or who pays more than one membership fee shall receive any refund.
  5. A member shall pay a membership fee for a period of one year and a consumption tax imposed thereon in a lump sum.
  6. The membership shall expire on July 31st  each year irrespective of the start date of membership.
  7. Membership category details are as follows:
Membership Eligibility Fee
Arsenal Bangalore Full Membership Memberships are open to all above the age of 18 years.Full access to the supporters club and have voting rights at AGM along with chance to take up admin roles INR 750/-
Arsenal Bangalore Student Membership Memberships are open to students upto age of 21 years (commensurate proof of education to be provided along with membership form and NOC from parent/ legal guardian if under the age of 18 years.)Cannot be part of voting in AGM but can take up admin positions. INR 300/-
Arsenal Bangalore Goonerette Membership Any Arsenal Lady supporter in Bangalore who wants to be part of Arsenal Bangalore group and support us . Cannot be part of voting in AGM but can take up admin positions. INR 100/-

 

 

Annual membership fee shall be announced and renewed annually during AGM

(As referred in Article 5, Paragraph 4).

  1. The members shall be informed of details on the Club for the following year as soon as they are finalized.
  2. In the event of change in any member information registered, the relevant member shall take the predetermined procedures for changing the information. The member shall contact the Club by following the method specified in the Terms on his or her own.
  3. The members shall be entitled to enjoy the Club’s member benefits. They are unable to receive member benefits without having access to the Internet using a personal computer or a mobile phone handset.
  4. Each member shall be responsible for managing his or her membership number, password and suchlike assigned by the Club and shall endeavor to keep the same confidential.
  5. The Club shall provide the members with necessary information by electronic mail, on the Club’s website operated by the Club.
  6. At the venue of a show or event, the Club’s personnel/volunteers or any other party commissioned by the Club may request members to produce their identification documents or cards. Those members who fail to grant the request or to carry their identification documents may be denied entry to the venue or be forced to leave the venue. In this case, members may not claim a refund for the ticket or any other compensation.

 

 

 

ARTICLE 3: OFFICERS

  1. Officers – The officers shall be a President, Vice-President, Secretary, Treasurer and committee members (members to be increased depending on club membership population).
  2. Eligibility – Officers must be students or employed personnel, but for the sake of stability and diversity, the executive committee retains final choice on members of the following year.
  3. Election – The officers shall be elected by ballot at the first Annual General Meeting (AGM) meeting of the year by a majority of the vote cast for that office.
  4. Term – The officers shall serve for two years and their term of office shall begin at the commencement of the season.
  5. Vacancy – If a vacancy occurs in the office of President, the Vice-President shall assume the office for the remainder of the term and vacancies in any other office shall be filled by a special election.

 

ARTICLE 4: DUTIES OF OFFICERS

  1. President – it shall be the duty of the President to:
  • Preside at meetings
  • Vote only in case of a tie
  • Represent the club
  • Appoint committee chairpersons subject to the approval of the Executive Committee
  • Serve as an ex-officio member of all committees except the nominating committee.
  • Perform such other duties as ordinarily pertain to this office
  • Preside in the absence of the President
  • Serve as chairperson of the Program Committee
  • Perform such other duties as ordinarily pertain to this office
  • Record the minutes of all meetings
  • Keep a file of the club’s records
  • Maintain a current roster of membership
  • Issue notices of meetings and conduct the general correspondence of the club
  • Jointly arrange and organize club activities for all members.
  • Receive all funds and process Request for Payment, Deposit Slip, and Officer Signature Forms.
  • Keep an itemized account of all receipts and expenditures and make reports as directed
  1. Vice-President – It shall be the duty of the Vice-President to:

  1. Committee Member – It shall be the duty of the Committee Member to:
  • Aid and assist the secretary in disbursing his duties.
  • Aid and assist in the running of all Club events.
  • Assist the club treasurer in monitoring expenditures, fundraising activities, and corporate sponsorship to maintain an accurate and up-to-date account ledger.

ARTICLE 5: MEETINGS

  1. Meetings – Regular meetings shall be held monthly during the year.
  2. Special Meeting – Special meetings may be called by the President with the approval of the Executive Committee.
  3. Quorum – A quorum shall consist of [two-thirds (2/3)] of the membership.
  4. Annual General Meeting – Held once a year for elections of the new committee and discuss the upcoming meetings, long range plans, goals, and problems of the club.

 

ARTICLE 6: EXECUTIVE COMMITTEE

  1. Responsibility – Management of this club shall be vested in an Executive Committee responsible to the entire membership to uphold these bylaws.
  2. Membership – This committee shall consist of the officers as listed in Article 3.
  3. Meetings – This committee shall meet at least once between regular meetings of the club to organize and plan future activities.

ARTICLE 7: COMMITTEES

  1. Special Committees – The President shall have the authority to appoint any special committees, with the approval of the Executive Committee, from time to time as need demands.

ARTICLE 8: AMENDMENTS

  1. Selection – These bylaws may be amended by a two-thirds (2/3) majority vote of the chapter membership.
  2. Notice – All members shall receive advance notice of the proposed amendment The members shall be notified of the Terms reflecting the amendment on an ex post facto basis by the method prescribed in paragraph 11 of Article 2.

ARTICLE 9: PRIVACY
This privacy policy sets out how the Club uses and protects any information that is given willingly by members directly or indirectly to the Club.

The Club is committed to ensuring that your privacy is protected and members can be assured that said information will only be used in accordance with this privacy statement.

The Club may change this policy from time to time by updating them based on requirement (which will have to be discussed and accepted by a majority of members at prior periodic general meeting of members) and subject to approval from Arsenal FC. The members shall be notified of the Terms reflecting the amendment on an ex post facto basis by the method prescribed in paragraph 11 of Article 2.

The Club may collect the following information:

  1. Name
  2. Job title/Designation and current place of employment or education (as applicable).
  3. Identification proof (with photograph) in the form of government issued identification (driver’s license, Ration card etc.)
  4. Contact information including email address and phone number.
  5. Demographic information such as postcode, preferences and interests
  6. Other information relevant to customer surveys and/or offers.

The Club require this information to understand member needs and provide members with a better service, and in particular for the following reasons:

  1. Internal record keeping.
  2. The Club may use the information to improve our products and services.
  3. The Club may periodically send promotional email about new products, special offers or other information which the Club or its executive committee think members may find interesting using the email address provided.
  4. From time to time, The Club may also use your information to contact members for market research purposes. Designated Club members may contact individual members by email, phone or mail. The Club may use the information to customise the website and club activities according to popular interests or demand.

The Club is committed to ensuring that all member information is secure. In order to prevent unauthorised access or disclosure the Club has put in place suitable physical, electronic and managerial procedures to safeguard and secure the information collected from members.

ARTICLE 10: FORBIDDEN ACTS

The members shall not engage in any of the acts specified below.

  1. Any act that conflicts with the purpose stipulated in Article 1
  2. Reselling, transferring or loaning to any third party a right to purchase presold tickets, any ticket or goods obtained as part of the member benefits, or any other right based on the membership by auctioning it or by any other means; or any act of pledging it or otherwise using it as a collateral
  3. Selling, purchasing or transferring any membership number, password or any other part of the membership, using any false name, carrying out any fraudulent change of name or letting any third party use any of them
  4. Any commercial or equivalent act in the Club or any act relating to politics or religion
  5. Duplicating, reproducing or redistributing any copyrighted work of the Club or Arsenal FC, any newsletter, original goods or suchlike
  6. Any act that infringes property rights, dignity, credibility, privacy, portrait rights, publicity rights or other rights or interests of Arsenal Football Club or any of its associated players/members or employees.
  7. Any act that brings disrepute or insult to Arsenal FC, any of its players/members or employees.
  8. Speak on behalf of the club at public forum without the prior written permission of the executive committee.
  9. Putting any computer virus or other malicious program into the Club’s website
  10. Any act that violates any law or regulation of the state of Karnataka, India.

ARTICLE 11: TERMINATION OF MEMBERSHIP

  1. The Club may cancel the membership of any member who is deemed by the Club to fall under any of the following.
    • The information submitted by the member is found false.
    • It is found that the member was forced to withdraw from the Club in the past.
    • The member engages in any of the forbidden acts stipulated in the preceding article or in any other act that violates the Terms.
  1. In no event shall any member whose membership is cancelled receive refund for any annual membership fee or other payment that has been made.

ARTICLE 12: REVISION TO SERVICES, ETC.

  1. The Club may revise the member benefits and other services only after prior notice and shall have to be discussed and accepted by a majority of members at prior periodic general meeting of members.

ARTICLE 13: SUSPENSION OF SERVICES, ETC.

  1. The Club may suspend or interrupt the Services without prior notice on the occasion of system maintenance or any unpredictable situation such as natural disasters and power failure.

ARTICLE 14: AMENDMENT TO THE TERMS

  1. The Club may amend the Terms only after prior notice and discussion of the same during periodic general meeting. Failing to attend these meetings either directly or indirectly frees the club from adhering to said member’s opinion/suggestion.
  2. The members shall be notified of the Terms reflecting the amendment on an ex post facto basis by the method prescribed in paragraph 11 of Article 2.

ARTICLE 15: DISCLAIMERS

  1. The Club shall accept no liability for any damage caused to any member in connection with the use of the Club.
  1. When a member fails to make an application by its deadline, if any, specified in the notice from the Club, his or her right to make an application shall become invalid. This shall also apply to the case where he or she fails to check the notice and consequently fails to meet the deadline.
  2. In the event of failure to receive a ticket or other delivered item that specifies the date of performance for reason of absence of the member and resulting failure to use it on the date specified, it shall become void and no refund shall be given.
  3. The Club shall accept no liability for trouble with the use of the Services attributable to any member.
  4. Arsenal FC retains the right to dissolve the Club in whole or in part if it judges that it is difficult to continue to operate the Club in view of the state of activities.
  5. In the event of the preceding paragraph, the Club shall notify each member and refund them part of the membership fee commensurate with the remaining membership period after the month of dissolution.

ARTICLE 16: GOVERNING LAW AND SETTLEMENT OF CONFLICTS

  1. The Terms shall be governed by and construed in accordance with the laws of the state of Karnataka, India.
  1. Any matter not provided in the Terms or any question regarding interpretation hereof shall be settled upon consultation in good faith between the Club and the member.
  2. In the event of settling any dispute in court, the Bengaluru District Court shall be the exclusive agreed court of jurisdiction in the first instance.
